Pre-launch draft. Edah AI is preparing for commercial launch. This document is published in good faith as a draft of the terms that will apply to the service. Final, binding versions will be issued before the service is made available for paid use. These Terms of Service ("Terms") govern your access to and use of the Edah AI platform, the website at edah.ai, and all related services (together, the "Service"), provided by [Legal Entity Name] ("Edah AI", "we", "us", or "our"). By creating an account or otherwise accessing the Service, you agree to be bound by these Terms. If you accept these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Definitions

  • Customer. The organisation that has registered an Edah AI account.

  • User. An individual authorised by the Customer to access the Service.

  • End User. A caller, recipient, or other third party who interacts with a voice agent operated through the Service.

  • Customer Data. All data submitted to or generated through the Service in connection with the Customer use of the Service, including audio, transcripts, contacts, and configuration.

  • Output. Any response, transcript, summary, recording, or action generated by the Service.

2. Eligibility

You must be at least 18 years of age and have legal capacity to enter into these Terms. The Service is intended for use by organisations operating in the United Arab Emirates and the broader region, and is not available where local law prohibits its use.

3. Account registration

To use the Service, you must register an account with accurate, complete information. You are responsible for maintaining the confidentiality of credentials issued to you and for all activity under your account. Notify security@edah.ai immediately of any suspected unauthorised access.

4. Acceptable use

You agree to use the Service only for lawful purposes and in line with these Terms. You will not:

  • Use the Service to violate any applicable law or regulation, including PDPL, TDRA rules, anti-money-laundering laws, sanctions, or consumer protection requirements.

  • Place outbound calls without the lawful basis required for the recipient and without honouring applicable Do-Not-Call lists and calling-window rules.

  • Use the Service to generate, transmit, or store unlawful, harassing, defamatory, fraudulent, or harmful content.

  • Attempt to reverse engineer, decompile, or otherwise derive source code or model weights from the Service.

  • Interfere with the integrity, security, or availability of the Service, including bypassing rate limits, quotas, or access controls.

  • Use the Service to build, train, or evaluate a competing product.

  • Misrepresent your identity, ownership of phone numbers, or the basis on which you contact End Users.

5. Customer obligations

You are solely responsible for:

  • Obtaining and maintaining any consents, authorisations, and lawful bases necessary for Edah AI to process Customer Data and End User data on your behalf.

  • Accuracy and lawfulness of the scenarios, prompts, knowledge sources, and contact lists you configure in the Service.

  • Compliance with TDRA outbound rules, including calling windows, caller-ID ownership, and Do-Not-Call enforcement, regardless of the pre-dial compliance gate operated by Edah AI.

  • Configuring access controls, retention periods, and recording disclosures appropriate to your jurisdiction and industry.

  • Promptly responding to End User requests that the Customer is required by law to handle (for example, data subject rights requests where the Customer is the controller).

6. Customer Data and rights

As between you and Edah AI, you retain all rights, title, and interest in Customer Data. You grant Edah AI a limited, non-exclusive, worldwide licence to process Customer Data solely to provide the Service, comply with applicable law, and as otherwise instructed by you under the Data Processing Agreement that forms part of these Terms.

7. AI-generated outputs

The Service uses artificial intelligence to generate Outputs, including spoken responses, transcripts, summaries, scoring, and tool calls. Outputs are produced based on the inputs you provide, the knowledge sources you connect, and the scenario configurations you choose. While we engineer the Service to be accurate, grounded, and auditable, Outputs may contain errors. You acknowledge that:

  • Outputs are provided "as is" and are not professional, legal, medical, financial, or regulatory advice.

  • You are responsible for reviewing Outputs before relying on them for decisions that affect people, transactions, or compliance obligations.

  • You are responsible for the suitability of the Service for your specific use case, including for any regulated industry context.

8. Subscriptions and billing

Subscription plans, fees, and billing terms will be published on the Edah AI pricing page upon commercial launch. Until launch, the Service is not offered for paid use. When paid plans become available, the following will apply unless agreed otherwise in writing:

  • Subscriptions renew automatically at the end of each billing cycle unless cancelled before renewal.

  • Fees are non-refundable except where required by applicable law.

  • Edah AI may revise pricing on 30 days prior written notice.

  • Usage-based fees (such as voice minutes, additional channels, add-on capabilities) are billed in accordance with the published rates for your plan.

9. Service availability

We aim to operate the Service with high availability. Voice and platform service-level commitments will be published with the commercial launch and incorporated into these Terms by reference. Scheduled maintenance, force majeure events, and outages outside our reasonable control are excluded from availability calculations. We will provide advance notice of planned maintenance where practicable.

10. Intellectual property

The Service, including its software, models, design, documentation, and brand assets, is owned by Edah AI and protected by applicable intellectual property law. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service as expressly described herein. No other rights are granted.

Feedback you provide about the Service may be used by Edah AI without restriction. We will not attribute feedback to you without your consent.

11. Third-party integrations

The Service integrates with third-party applications, including customer relationship management systems, calendars, and communication tools. Your use of any third-party integration is subject to the third party terms and privacy practices. Edah AI is not responsible for the availability, accuracy, or behaviour of third-party services.

12. Confidentiality

Each party will protect the confidential information of the other with at least the same degree of care it uses to protect its own confidential information of similar importance, and not less than a reasonable standard of care. Confidential information may be disclosed where required by law, provided the receiving party gives reasonable notice to the disclosing party where permitted.

13. Indemnification

You will defend, indemnify, and hold harmless Edah AI and its affiliates from any third-party claim arising out of your use of the Service in breach of these Terms, your violation of applicable law, or your infringement of any third-party right (including rights of End Users you contact through the Service).

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, or data, arising out of or related to these Terms or the Service.

Each party total aggregate liability under these Terms will not exceed the fees paid or payable by you for the Service in the 12 months preceding the event giving rise to the claim. These limitations apply regardless of the form of action and even if a remedy fails of its essential purpose. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

15. Termination

You may close your account at any time from the workspace settings. Edah AI may suspend or terminate access to the Service if you breach these Terms, if continued provision would expose Edah AI to unlawful or unacceptable risk, or for non-payment after notice. On termination, your right to use the Service ceases and Customer Data is handled in accordance with the Data Processing Agreement.

16. Governing law and dispute resolution

These Terms are governed by the federal laws of the United Arab Emirates. Disputes arising out of or in connection with these Terms will be referred to and finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) under its rules in force at the time of submission. The seat of arbitration will be Dubai, and the language of the arbitration will be English. Either party may seek interim or conservatory relief from a court of competent jurisdiction.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified at least 30 days in advance through the Service or by email to account administrators. Continued use of the Service after the effective date of the updated Terms constitutes acceptance.

18. General

If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force. Failure to enforce any provision is not a waiver. These Terms, together with the Privacy Policy, the Cookie Policy, the Compliance & DPA, the Subprocessors list, and any order form or plan terms, constitute the entire agreement between you and Edah AI regarding the Service.
